1. Agreement Scope

These Terms and Conditions govern the provision of investment consulting services by Aurion Partners and your use of our website. By engaging our services or accessing our website, you agree to be bound by these terms.

If you do not agree with any part of these terms, please refrain from using our services or website. These terms supplement any specific service agreements executed between Aurion Partners and individual clients.

2. Definitions

• "Services" refers to investment consulting services including Portfolio Architecture Consultation, Wealth Structuring Advisory, and Quarterly Review Sessions.
• "Client" means any individual or entity engaging Aurion Partners for advisory services.
• "Documentation" includes all written materials, reports, analyses, and recommendations provided during service delivery.
• "Agreement" encompasses these Terms and Conditions plus any executed service contracts.

3. Service Engagement

Services commence upon execution of a service agreement specifying scope, deliverables, timeline, and fees. All services are provided subject to:

• Availability of advisors with appropriate expertise
• Client provision of accurate and complete information
• Payment of agreed fees according to specified terms
• Compliance with applicable regulatory requirements

4. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate, complete financial information necessary for analysis
• Disclose material changes in circumstances affecting recommendations
• Review documentation promptly and raise questions or concerns
• Make independent decisions regarding implementation of recommendations
• Maintain confidentiality of proprietary methodologies and materials
• Pay fees according to agreed schedules

5. Payment Terms

All fees are quoted in Singapore Dollars (S$) unless otherwise specified. Payment terms:

• Portfolio Architecture Consultation: Payment due upon service agreement execution
• Wealth Structuring Advisory: Payment due upon service agreement execution
• Quarterly Review Sessions: Billed quarterly in advance

Accepted payment methods include bank transfer, cheque, and credit card (processing fees may apply). Late payments may result in suspension of services and accrue interest at prevailing commercial rates.

6. Refund Policy

Refund eligibility depends on service type and completion stage:

• Full refund available if service cancelled within 72 hours of agreement execution before any work commences
• Partial refunds calculated based on work completed if service terminated mid-engagement
• Quarterly review fees non-refundable once quarter begins
• Refunds processed within 14 business days via original payment method

7. Service Limitations

Our services are advisory in nature. Important limitations:

• We do not manage client assets or execute transactions
• We do not provide tax advice; clients should consult tax professionals
• We do not provide legal advice; clients should consult legal counsel
• Past performance analysis cannot guarantee future results
• All investments carry risks including potential loss of principal

8. Intellectual Property

All materials created by Aurion Partners remain our intellectual property. Clients receive:

• Non-exclusive license to use documentation for personal financial decision-making
• Prohibition on commercial use, reproduction, or distribution of our materials
• No rights to proprietary methodologies, analytical frameworks, or processes
• Obligation to return or destroy materials upon relationship termination if requested

9. Confidentiality

Both parties agree to maintain confidentiality:

Aurion Partners will:

• Protect all client information according to our Privacy Policy
• Limit information access to advisors directly serving the client
• Not disclose client identities or details without permission

Clients agree to:

• Keep our proprietary methodologies and materials confidential
• Not share documentation with third parties without permission
• Not publicly disparage our services or personnel

10. Disclaimers and Limitations of Liability

Services are provided "as is" without warranties of any kind. We disclaim:

• Guarantees regarding investment outcomes or performance
• Warranties that recommendations will achieve stated objectives
• Liability for losses resulting from implementation decisions
• Responsibility for third-party products or service providers
• Liability for events beyond our reasonable control

Our total liability for any claims shall not exceed fees paid for the specific service giving rise to the claim.

11. Termination

Either party may terminate services:

By Client:

• With written notice at any time
• Fees for completed work remain due
• Partial refunds calculated based on work completed

By Aurion Partners:

• For non-payment after 30-day notice period
• For client misrepresentation or failure to provide necessary information
• For conflicts of interest that cannot be resolved
• Unused fees refunded upon termination

12. Dispute Resolution

Disputes shall be resolved through:

1. Informal Discussion: Good faith attempt to resolve through direct communication
2. Mediation: If informal resolution fails, non-binding mediation in Singapore
3. Arbitration: Binding arbitration under Singapore International Arbitration Centre rules if mediation unsuccessful

These terms are governed by Singapore law. All proceedings shall occur in Singapore.

13. General Provisions

Entire Agreement: These terms constitute the complete agreement between parties regarding subject matter, superseding prior discussions or agreements.

Severability: If any provision is found invalid, remaining provisions continue in full effect.

No Waiver: Failure to enforce any right does not constitute waiver of that right.

Assignment: Clients may not assign rights or obligations without our written consent.

Notices: All notices must be in writing and sent to addresses specified in service agreements or to [email protected].
